TERMS OF SERVICE

These Terms of Service ("Terms") govern your use of the services provided by QuantForge ("we," "us," or "our") through our website at qfhq.io and related services. By engaging our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. SERVICES

QuantForge provides AI-powered product building services through a platform of 42 specialized AI agents. Our services include, but are not limited to:

  • One-time build tiers (Starter, Growth, Scale, Full Orbit): Product builds including website development, payment integration, SEO, content creation, ad campaign assets, and quality auditing
  • Monthly growth plans: Ongoing services including content generation, market intelligence, advertising management, and performance optimization
  • White Label Partner: Unlimited builds under the client's brand with full API access and priority queue access

The specific deliverables for each engagement are defined in the project brief and confirmed before the build commences.

2. ENGAGEMENT AND PAYMENT

Pricing

Our current service tiers are priced as follows:

  • Starter: $2,500 USD one-time
  • Growth: $5,000 USD one-time
  • Scale: $10,000 USD one-time
  • Full Orbit: $20,000 USD one-time
  • White Label Partner: $10,000 USD per month

Prices are subject to change. Any price changes will be communicated 30 days in advance for active subscription clients.

Payment Terms

All payments are processed through Stripe. One-time build tier payments are due in full before the build commences. Monthly subscription payments (growth plans and White Label) are billed on the same date each month. All payments are in US Dollars.

Refunds

One-time build engagements include a 30-day satisfaction guarantee. If you are not satisfied with the delivered product within 30 days of delivery, you may request a full refund. Monthly subscriptions may be cancelled at any time, effective at the end of the current billing period. No partial-month refunds are provided.

3. INTELLECTUAL PROPERTY

Client Ownership

Upon full payment, you receive complete ownership of all deliverables produced during your engagement, including but not limited to:

  • Source code and compiled applications
  • Design assets, logos, and brand identity materials
  • Written content, marketing copy, and documentation
  • Domain names registered on your behalf
  • Ad creative and campaign configurations

QuantForge Rights

We retain the right to:

  • Use general knowledge, techniques, and methodologies developed during the engagement
  • Reference the engagement in our portfolio and marketing materials (with your permission)
  • Retain anonymized, aggregated data for service improvement purposes

We do not retain any proprietary rights to your product, code, or content after delivery.

Pre-Existing Materials

Any materials you provide to us (logos, content, data, specifications) remain your property. You grant us a limited license to use these materials solely for the purpose of fulfilling the engagement.

4. CLIENT RESPONSIBILITIES

You agree to:

  • Provide accurate and complete project briefs and specifications
  • Provide timely feedback when requested during the build process
  • Ensure that materials you provide do not infringe on third-party intellectual property rights
  • Comply with all applicable laws in your jurisdiction when using the delivered products
  • Maintain the security of credentials and access tokens provided to you
  • Not use our services to build products that are illegal, fraudulent, or harmful

5. SERVICE LEVEL AND DELIVERY

Build Timeline

Build engagements are typically completed within 48 hours to 7 days depending on tier and scope. Pipeline activation occurs after the project brief is approved and payment is confirmed. White Label Partner builds are activated within 1 hour of submission.

Quality Assurance

Every build undergoes a 46-point quality audit conducted by our QA agent (QUINN). This audit covers performance, accessibility, SEO, security, payment processing, mobile responsiveness, cross-browser compatibility, and content accuracy.

Revisions

Build engagements include revisions within the revision window specified by tier (14-90 days). Revisions are processed within 24 hours. Monthly plan and White Label clients receive unlimited revisions as part of their subscription.

Post-Launch Monitoring

Build engagements include 30 days of post-launch monitoring. Monthly plan and White Label clients receive ongoing monitoring for the duration of their subscription.

6. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • QuantForge's total liability for any claim arising from or related to these Terms or our services shall not exceed the amount you paid to us in the 12 months preceding the claim
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data
  • We are not liable for any damages arising from your use or inability to use the delivered products after the handoff period
  • We are not responsible for third-party service outages (Stripe, Cloudflare, hosting providers, Meta) that may affect your product

7. WARRANTY DISCLAIMER

Our services are provided "as is" and "as available." While we strive to deliver high-quality products through our 46-point quality audit, we do not warrant that:

  • Our services will meet all of your specific requirements beyond the agreed project brief
  • The delivered products will be error-free or uninterrupted
  • Any specific business outcomes, revenue, or user acquisition targets will be achieved
  • Third-party services integrated into your product will remain available indefinitely

8. INDEMNIFICATION

You agree to indemnify and hold harmless QuantForge and its agents, employees, and contractors from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the delivered products
  • Your violation of these Terms
  • Your violation of any applicable law or third-party rights
  • Materials or content you provided that infringe on third-party intellectual property

9. TERMINATION

By You

You may cancel monthly subscriptions at any time by contacting us at sam@qfhq.io. Cancellation takes effect at the end of the current billing period.

By Us

We may terminate or suspend your access to our services immediately if:

  • You breach any provision of these Terms
  • You use our services for illegal or fraudulent purposes
  • Payment is not received after reasonable attempts to collect
  • We reasonably believe continued service poses a risk to us or third parties

Effect of Termination

Upon termination, you retain ownership of all deliverables for which payment has been completed. We will provide a reasonable transition period (minimum 7 days) for you to retrieve credentials, documentation, and access to your products.

10. WHITE LABEL SPECIFIC TERMS

White Label Partners are additionally subject to the following terms:

  • You are responsible for your end-client relationships and obligations
  • You may not represent QuantForge's AI agents as human employees of your organization
  • API access is subject to reasonable rate limits; excessive usage may require a custom plan
  • Revenue share arrangements are defined in the individual partner agreement
  • You are responsible for ensuring your end-clients comply with applicable laws

11. CONFIDENTIALITY

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes project briefs, business strategies, pricing arrangements, and technical specifications. Confidentiality obligations survive termination for a period of 2 years.

12. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of Thailand. Any disputes arising from these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in Bangkok, Thailand, conducted in English under the rules of the Thai Arbitration Institute.

13. FORCE MAJEURE

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, acts of government, internet outages, or disruptions to third-party AI services.

14. MODIFICATIONS

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to active clients at least 30 days before taking effect. Continued use of our services after the effective date constitutes acceptance of the modified Terms.

15. SEVERABILITY

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any individual project agreements, constitute the entire agreement between you and QuantForge regarding the use of our services.
